1. SINGLE-USER LICENSE

Enrollment grants an individual, non-transferable lifetime learning license. Account sharing, group-pooling, or multi-seat distribution is strictly prohibited.

2. CLIENT CODE PERMISSION

Engineers are fully permitted to deploy learned architecture patterns, state machines, and logic within bespoke automation solutions for employers or direct clients.

3. ASSET INTEGRITY & IP

Reselling, leaking, or public redistribution of educational assets is illegal, carrying contractual liquidated damages and civil/criminal copyright prosecution.

Section 1: Organizational Entity & Scope of Educational Services

1.1 Legal Operator: Flow Cadax ("the Platform", "we", "us", "our") is an independent specialized technical training platform in Enterprise Automation & AI founded, owned, and operated by Lokesh Kumar ("Owner", "Founder", "Operator").

1.2 Educational Scope: FlowCadax develops, publishes, and distributes advanced technical curriculum, architectural blueprints, coded capstone workflows, Solution Design Documents (SDD), and interview preparation modules in robotic process automation and enterprise AI engineering.

1.3 Independent Educational Standing: Enrollment grants the individual student a personal educational license only. It does not establish any employment relationship, partnership, joint venture, corporate agency, or fiduciary contract between the student and FlowCadax or Lokesh Kumar.

Section 2: Legal Capacity, Age Mandate (18+) & Corporate Authority

2.1 Age & Capacity Representation: By accessing the Platform, creating an account, or completing checkout, you expressly represent and warrant that you are at least eighteen (18) years of age (or the age of majority in your jurisdiction) and possess full legal capacity and competence to enter into and be bound by this Agreement.

2.2 Corporate Binding Authority: If you are enrolling or making a purchase on behalf of an enterprise, company, employer, or legal entity, you represent and warrant that you possess full corporate authority to bind that entity to these Terms. In such event, "you" and "student" shall refer both to you individually and to the bound entity jointly and severally.

2.3 Parental & Guardian Guarantee: If an individual under eighteen (18) years of age accesses the Platform, a parent or legal guardian must execute the enrollment and agree to these Terms. The parent or guardian assumes full financial responsibility and joint and several liability for all obligations, indemnifications, and liquidated damages under this Agreement.

Section 3: Student Account Security, Device Binding & Multi-User Restrictions

3.1 Individual License Grant: Upon receipt and administrative verification of enrollment tuition, FlowCadax grants the individual student a personal, revocable, non-exclusive, non-transferable, non-sublicensable lifetime license to access the enrolled learning modules and downloadable capstone templates for individual study.

3.2 Single-Human Learner Mandate: Each account is licensed strictly to one individual human learner. Account sharing, credential pooling, concurrent logins across disparate geographic locations, or group-buying schemes are strictly prohibited.

3.3 Device Binding (Max 2 Personal Devices): Access is restricted to a maximum of two (2) personal computing devices (e.g., one primary workstation and one mobile device) belonging exclusively to the registered student. Simultaneous concurrent streaming or impossible geographic travel (e.g., logins from different countries or cities within minutes) will trigger automatic security account locks.

3.4 Multi-Seat Prohibition & Enterprise Audit Rate: Sharing individual login credentials across corporate teams, departments, or agencies constitutes willful copyright infringement. FlowCadax reserves the right to audit access telemetry and bill the offending entity at our standard commercial enterprise seat rate of $1,500 USD (or ₹1,20,000 INR) per unauthorized seat, without prejudice to our right to claim statutory damages and injunctive relief.

Section 4: Proprietary Intellectual Property, Trade Secrets & Zero Title Transfer

4.1 Exclusive Ownership: All video masterclasses, architecture diagrams, REFramework state machine templates, n8n workflows, FastMCP server scripts, SQL database schemas, interactive labs, and written Solution Design Documents are the exclusive intellectual property and proprietary trade secrets of FlowCadax and Lokesh Kumar, protected under international copyright treaties, Title 17 of the United States Code, and the Indian Copyright Act, 1957.

4.2 Zero Transfer of Title: Tuition payment conveys a restricted personal study license only. No title, ownership, copyright, patent, trademark, or trade secret rights in the underlying curriculum assets are transferred or assigned to the student.

Section 5: Strict Prohibition on Piracy, Reselling, Leaking & Liquidated Damages

5.1 Express Prohibition: Students are strictly forbidden from selling, reselling, sub-licensing, renting, leasing, screen-recording, exporting for bulk distribution, or commercially exploiting any video lesson, codebase, template, prompt, cheatsheet, or Solution Design Document provided by FlowCadax.

5.2 Criminal & Civil Offense: Uploading FlowCadax materials to public websites, Google Drive, Mega, Telegram groups, Discord servers, WhatsApp communities, forums, or torrent networks is completely illegal. Any student engaging in unauthorized sharing, group-buying, or reselling shall be subject to civil copyright litigation for maximum statutory damages and criminal prosecution under Sections 63, 63A, 65, and 65A of the Indian Copyright Act, 1957, and Sections 43, 66, and 66C of the Information Technology Act, 2000.

5.3 Contractual Liquidated Damages: Due to the extreme commercial difficulty of quantifying damages resulting from digital leakage and pirated asset proliferation, the student explicitly agrees that any unauthorized redistribution, public leaking, or resale shall incur a minimum agreed liquidated damages penalty of $10,000 USD (or ₹8,00,000 INR) per incident or shared codebase, without prejudice to FlowCadax's right to pursue full actual profits, statutory damages, injunctive relief, and all attorney fees.

Section 6: Permitted Client Work Application vs. Prohibited Resale of Educational Assets

6.1 Permitted Production Application: Students are explicitly encouraged and permitted to implement the engineering principles, REFramework state machines, LINQ queries, and architecture patterns learned within bespoke automation solutions built for their actual corporate employers or direct clients.

6.2 Prohibited Educational Packaging: Students may not package, resell, or distribute raw FlowCadax templates, lessons, or educational assets as a competing training course, digital product, paid boilerplate, or public template library.

Section 7: Forensic Session Telemetry, Digital Watermarking, Anti-Scraping & AI Training Ban

7.1 Automated Telemetry & Watermarking: FlowCadax implements forensic session telemetry, invisible digital watermarking, and IP access logging. Downloaded software artifacts and documentation contain cryptographic session identifiers uniquely tied to the student's account.

7.2 Strict Ban on Scraping & AI Model Training: Automated scraping, bot crawling, bulk curl/wget scripts, screen-recording tools, and using FlowCadax materials as training datasets for Large Language Models (LLMs) or artificial intelligence systems is strictly prohibited.

7.3 Automated Security Lockouts: Accounts exhibiting credential sharing, proxy/VPN scraping, or automated bot activity are locked automatically pending administrative review. Continued access constitutes express consent to forensic security monitoring.

Section 8: Owner's Unilateral Authority of Immediate Access Suspension & Termination for Cause

8.1 Right to Terminate: The Owner (Lokesh Kumar) reserves the unconditional legal right to immediately suspend or permanently terminate any student's portal access, repository links, community access, and account credentials without prior notice and without refund if the student violates any term of this agreement.

8.2 Grounds for Termination: Grounds for immediate termination include: (a) unauthorized account sharing or credential distribution; (b) detected screen-recording or automated scraping of lessons; (c) initiating a fraudulent bank chargeback; (d) engaging in abusive, derogatory, or defamatory communication; (e) attempting to reverse-engineer or resell FlowCadax assets; or (f) feeding curriculum into AI models.

8.3 Certificate Revocation: Upon termination for cause, all verifiable cryptographic certificates issued to the student are irrevocably cancelled with public fraud notices.

Section 9: Strict Prohibition of Fraudulent Chargebacks, Reversals & Dispute Penalties

9.1 Covenant Not to Dispute: The student covenants not to initiate any credit card chargeback, bank reversal, UPI recall, or PayPal claim against FlowCadax for legitimate access provided.

9.2 Dispute Penalties & Collection Remedies: Initiating an unjustified chargeback constitutes a fraudulent breach of contract. FlowCadax reserves the right to recover the full tuition amount plus a mandatory $250 USD (or ₹20,000 INR) administrative dispute processing fee, acquiring bank penalty fees, and attorney fees incurred in contesting the chargeback. Session telemetry, authenticated IP logs, and signed terms shall be submitted to the acquiring institution, card brands, and anti-fraud bureaus.

Section 10: Student Conduct, Community Standards, Anti-Defamation & Non-Disparagement Covenant

10.1 Professional Conduct: Students must maintain professional and respectful conduct in all interactions with FlowCadax instructors, staff, and fellow students. Harassment, abusive language, discrimination, or hate speech will result in immediate expulsion.

10.2 Non-Disparagement & Anti-Defamation Covenant: Students covenant not to publish false, unverified, defamatory, derogatory, or disparaging statements regarding FlowCadax, its founder (Lokesh Kumar), or its educational content on public forums, LinkedIn, Reddit, YouTube, X/Twitter, or social networks. Violations authorize immediate termination of access, liquidated damages, and filing for emergency injunctive relief and civil defamation damages. Legitimate feedback must be submitted privately via verified support channels.

Section 11: Third-Party Trademark Nominative Fair Use Disclaimer

11.1 Registered Trademarks: UiPath® is a registered trademark of UiPath, Inc. Microsoft®, Power Automate®, and Windows® are registered trademarks of Microsoft Corporation. n8n® is a registered trademark of n8n GmbH. All trademarks belong to their respective owners.

11.2 Nominative Fair Use: FlowCadax is an independent educational training provider and is NOT affiliated with, sponsored by, endorsed by, or partner-certified by UiPath, Inc., Microsoft Corporation, or n8n GmbH. All brand names, software logos, and certification exam codes (UiARD, PL-500) are used strictly under the legal doctrine of Nominative Fair Use (15 U.S.C. § 1115(b)(4) and Section 30 of the Indian Trade Marks Act, 1999) for educational instruction and course preparation.

Section 12: Digital Content Delivery, Absolute Finality of Sale & Comprehensive Cancellation Policy

12.1 Immediate Digital Execution: FlowCadax products consist entirely of digital goods, downloadable software workflows, and proprietary solution packages. Access is provisioned electronically immediately upon verification.

12.2 Finality of Tuition & Non-Refundable Nature: ALL PAYMENTS, ENROLLMENT TUITIONS, AND ACCESS PURCHASES ARE 100% FINAL AND NON-REFUNDABLE. Due to the immediate irrevocable delivery of downloadable source code repositories, software templates, and proprietary documentation, payments once made cannot be refunded, reimbursed, or credited under any circumstance.

12.3 Statutory Waiver of Cooling-Off Rights: Under European Union Directive 2011/83/EU Article 16(m), UK Consumer Contracts Regulations 2013 Regulation 37, and the Indian Consumer Protection (E-Commerce) Rules, 2020, the statutory right of withdrawal does not apply to the supply of digital content once digital performance has commenced. The student explicitly consents to immediate performance upon checkout and waives any statutory 14-day cancellation period.

12.4 Preclusion of Refund Claims: For the avoidance of doubt, refunds will strictly not be entertained for: (a) change of personal mind, interest, or career direction; (b) personal time constraints or scheduling conflicts; (c) hardware, software, or operating system incompatibilities (such as lack of a compatible Windows OS for UiPath Studio or third-party license accounts); (d) failure to pass third-party certification examinations; (e) failure to secure employment, client promotions, or salary increments; (f) non-attendance or non-completion of course modules; or (g) subjective dissatisfaction with teaching style.

12.5 Pre-Enrollment Review: Prospective students are provided complete curriculum roadmaps, transparent topic listings, and sample preview lessons prior to checkout to ensure curriculum suitability before payment.

Section 13: Student Prerequisite Responsibility & Third-Party Software/Hardware Licensing Disclaimers

13.1 Technical Environment Prerequisite: The student is solely responsible for procuring and maintaining the necessary hardware, operating system, and high-speed internet connection required to execute automation tools. UiPath Studio natively requires a 64-bit Windows operating system (or a properly configured Windows Virtual Machine). Operating system incompatibilities (including running non-Windows environments) are solely the student's responsibility.

13.2 Third-Party Software Accounts: FlowCadax provides educational blueprints, curriculum, and capstone codebases. FlowCadax does NOT provide licenses for third-party commercial software (such as UiPath Community/Enterprise Edition, Microsoft 365, Power Automate Desktop, SQL Server, or third-party AI API keys). Students are solely responsible for creating and maintaining their own third-party software accounts in accordance with respective vendor terms. Inability to obtain or configure third-party accounts does not constitute a defect or failure of FlowCadax services.

Section 14: No Employment Guarantee, Salary Warranty & Certification Scope Disclaimer

14.1 Educational Blueprint Only: FlowCadax provides architectural instruction and practical engineering case studies based on enterprise best practices. FlowCadax makes NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES—EXPRESS OR IMPLIED—REGARDING: (a) securing corporate employment, client contracts, or recruitment callbacks; (b) achieving specific salary tiers, compensation brackets, or corporate promotions; or (c) passing third-party vendor certification exams.

14.2 Certification Nature: Certificates of completion issued by FlowCadax represent internal program completion and do NOT confer university degrees, government-accredited diplomas, or official vendor certifications (such as UiPath UiARD or Microsoft PL-500). Official examinations must be registered and taken separately with Pearson VUE or the respective vendor.

Section 15: Software Code 'AS-IS' Warranty Disclaimer, Service Availability & Maximum Liability Cap

15.1 'AS-IS' Provision: All code templates, REFramework state machines, C# scripts, LINQ queries, database DDL schemas, and n8n workflows are provided "AS IS" and "AS AVAILABLE" strictly for educational instruction. FlowCadax and Lokesh Kumar disclaim all warranties, express or implied, including merchantability, non-infringement, and fitness for a particular purpose.

15.2 Zero Production Liability: FlowCadax and Lokesh Kumar shall have ZERO liability for any system downtime, data loss, bot runtime exceptions, API rate limit throttles, security breaches, or financial damages occurring in any student's, employer's, or client's IT environment. The student is solely responsible for testing and sandboxing any workflow before production deployment.

15.3 Third-Party Cloud Availability: FlowCadax relies on enterprise cloud infrastructure (including Netlify, Supabase, and GitHub). FlowCadax is not liable for temporary service interruptions, ISP downtimes, or maintenance maintenance windows beyond its reasonable control.

15.4 Aggregate Liability Cap: To the maximum extent permitted by applicable law, the cumulative aggregate liability of FlowCadax and Lokesh Kumar for any and all claims arising out of or related to this agreement, whether in contract, tort, or otherwise, shall be strictly capped at the actual tuition amount paid by the student for the specific course giving rise to the claim.

Section 16: Mandatory Pre-Litigation Informal Resolution, Class Action Waiver, Severability & Exclusive Jurisdiction

16.1 Indemnification: The student agrees to indemnify, defend, and hold harmless FlowCadax and Lokesh Kumar against any third-party claims, employer disputes, regulatory fines, or software damages arising from the student's violation of these terms or misuse of provided workflows.

16.2 Mandatory Pre-Litigation Informal Resolution: Prior to filing any formal legal claim, arbitration, or proceeding, the student agrees to notify FlowCadax in writing at founder@flowcadax.com detailing the nature of the dispute. The parties shall engage in good-faith informal negotiations for a minimum period of thirty (30) calendar days.

16.3 Class Action Waiver: All disputes must be resolved on an individual basis. The student explicitly and irrevocably waives any right to bring, join, or participate in any class action, collective lawsuit, or representative proceeding against FlowCadax or Lokesh Kumar.

16.4 Governing Law & Exclusive Jurisdiction: This Agreement is governed exclusively by the laws of the Republic of India. Any legal dispute, controversy, or claim arising out of this Agreement that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts in India having territorial jurisdiction over the administrative seat of FlowCadax (Jaipur, Rajasthan, India).

16.5 Electronic Assent & Severability: Completing checkout, accessing the online portal, or downloading repositories constitutes an electronic signature and irrevocable legal assent under Section 10A of the Information Technology Act, 2000, the US E-SIGN Act (15 U.S.C. § 7001), and the EU eIDAS Regulation. If any provision of this Agreement is held invalid, all remaining provisions shall remain in full force and effect.
